Overview
There are two ways to invest in the fast-growing cannabis industry. You can invest in an existing licensee, or you can apply for a new cannabis license. We will discuss how to deploy your capital and time in both endeavors. If you are seeking to apply for a new license, we will discuss the magnitude of what is involved in your typical license application and how to best approach a cannabis application to give your team a chance at “winning” a license. If you are considering investing in an existing licensee we will discuss what the considerations to think about before moving forward.

Objectives
Understand the different considerations when deciding whether to seek a new cannabis license or invest in an existing licensee. Understand the various entity choices to consider when investing in a cannabis opportunity or raising capital for your existing cannabis company. Understand the risks associated with cannabis investing from the Federal illegality of marijuana to potential public disclosure of an individual’s cannabis investment, as well as understand some potential tools to use to avoid such public disclosure. Understand the various structures used to invest in cannabis companies and the pros and cons of such structures

Adam Fayne, Western CPE
Adam Fayne assists companies and individuals, nationally and internationally, on corporate and tax issues. As a corporate attorney, Adam routinely advises management or in-house general counsel on various legal matters affecting their day-to-day corporate activities. His experience includes handling matters involving mergers and acquisitions, employment, compliance, litigation, personal injury, vendor contract review and negotiations, employment benefits, financing, real estate and many other issues. Adam is also a tax attorney who helps businesses and individuals with tax controversies before the Internal Revenue Service (IRS) and tax planning both domestically and internationally. He also handles a variety of white collar criminal matters, both federal and state, particularly involving civil and criminal tax fraud, including tax evasion, money laundering and offshore tax compliance. Adam’s knowledge of tax law is informed by his former role as a Special Assistant U.S. Attorney with the Department of Treasury’s IRS.
